All intellectual property — including proprietary algorithms, source code, system architecture, branding, and trade secrets — remains the exclusive property of Simply Facility Solutions.
Any unauthorized reproduction, modification, reverse engineering, or redistribution of our platform or its components is strictly prohibited.

2. Acceptable Use Policy

Subscribers must use the platform responsibly and in accordance with all applicable local, state, and international laws.
Prohibited actions include (but are not limited to):

Engaging in fraudulent, deceptive, or unlawful activities
Sending unsolicited or spam messages
Uploading or distributing malicious software or code
Harassing, threatening, or defaming others
Exploiting or attempting to exploit system vulnerabilities
Interfering with or degrading platform performance

Violations of this policy may result in immediate suspension or permanent termination of service without notice.
Serious violations may also lead to legal action or notification to law enforcement.

3. Subscription, Billing, and Payments

All subscriptions are billed on a recurring basis as specified at the time of purchase and will continue until canceled.
Customers are responsible for maintaining accurate and up-to-date billing information.

If a payment fails, access to the platform may be temporarily suspended until the issue is resolved.
Billing details, invoices, and payment history are accessible via your customer dashboard.

All charges are considered final unless disputed within 30 days of billing.
Refunds, if applicable, are processed according to our Refund Policy.

4. Updates to Terms

Our total liability for any claim arising from your use of our services will not exceed the total subscription fees paid by you during the preceding twelve (12) months.

6. Indemnification

Subscribers agree to indemnify and hold harmless Simply Facility Solutions, its officers, employees, and affiliates from any claims, damages, losses, or expenses — including reasonable attorney’s fees — arising from:

Misuse of the platform
Violation of these Terms & Conditions
Breach of applicable laws or third-party rights

7. Governing Law and Dispute Resolution

These Terms & Conditions are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles.
Any disputes shall first be subject to good-faith negotiation between the parties.

If resolution cannot be reached, disputes will be submitted to binding arbitration in Middlesex County, New Jersey.
By using our platform, you expressly waive the right to participate in class actions or jury trials against Simply Facility Solutions.
